Terms of Use and End-User License Agreement

These terms govern your use of the Oregon Weed Wash LLC website at oregonweedwash.com, the Oregon Weed Wash operator portal, and the internal software integrations operated by Oregon Weed Wash LLC ("the Software"). By accessing the website or using the Software, you agree to these terms. If you do not agree, do not use them.

1. Who may use the Software

The operator portal and the internal integrations are private business software operated by Oregon Weed Wash LLC for its own operations and for the contracted operators and subcontractors it authorizes. They are not offered to the general public and are not sold, licensed or distributed to third parties. Access is granted only to individuals we have approved, and only for as long as that approval remains in effect.

2. Licence

Subject to these terms, Oregon Weed Wash LLC grants authorized users a limited, non-exclusive, non-transferable, revocable licence to access and use the Software solely for the purpose of performing work for, or administering the business of, Oregon Weed Wash LLC. All right, title and interest in the Software remains with Oregon Weed Wash LLC.

3. Acceptable use

• Do not share your login credentials, or allow anyone else to use your access.
• Do not attempt to access records belonging to other operators, or any part of the system you have not been granted access to.
• Do not copy, extract, resell or redistribute data from the Software.
• Do not attempt to probe, scan, reverse engineer, disrupt or circumvent the security of the Software.
• Do not submit false, misleading or fraudulent information, including in applications, shift tickets or expense records.
• Do not use the Software for any unlawful purpose.

4. Your account and information

You are responsible for the accuracy of the information you provide and for keeping it current. Information collected through the Software is handled in accordance with our Privacy Policy. Payment and banking details are collected and held by Intuit, not by Oregon Weed Wash LLC.

5. Connected third-party systems

The Software connects to third-party business systems, including Intuit QuickBooks Online, in order to administer contractor onboarding, invoicing and payment. Your use of those third-party systems is governed by their own terms and privacy policies. Oregon Weed Wash LLC is not responsible for the availability, accuracy or conduct of third-party systems.

6. Independent contractor status

Nothing in these terms creates an employment relationship, partnership or joint venture. Operators and subcontractors engaged by Oregon Weed Wash LLC do so as independent contractors, and the specific commercial terms of any engagement are set out in the applicable subcontract or agreement, which controls in the event of any conflict with these terms.

7. Availability

The Software is provided on an "as is" and "as available" basis. We do not warrant that it will be uninterrupted, timely, secure or error-free. We may modify, suspend or discontinue any part of it at any time.

8. Limitation of liability

To the maximum extent permitted by law, Oregon Weed Wash LLC will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue or data, arising out of or relating to your use of the website or the Software.

9. Termination

We may suspend or terminate access at any time, with or without notice, including when an operator is no longer approved, is inactive, or has breached these terms. On termination the licence in section 2 ends immediately.

10. Governing law

These terms are governed by the laws of the State of Oregon, without regard to its conflict of laws rules.

11. Changes

We may update these terms. The "last updated" date above reflects the current version. Continued use after a change constitutes acceptance.
